These terms and conditions govern the use of our websites, mobile applications, WeChat mini programs and other channels of Galaxy Entertainment Group Limited (and its subsidiaries and affiliates, referred to as the “Company”, “we”, “us”, or “our”), hereinafter referred to as “Official Online Channels”.

We make no representations and warranties of any kind (expressed or implied) in respect of the content, accuracy, completeness, legality, reliability or availability of information or materials contained in or provided through our Official Online Channels ("Contents") and disclaim all responsibility and liability.

All information provided herein constitutes the general terms and conditions of using, dealing with or communicating with us through the Official Online Channels.  All of our services, activities, promotion and marketing campaigns on the Official Online Channels will have their own specific terms and conditions.

We may revise these Terms of Use at any time without notice. Any revisions to these Terms of Use shall be effective as of the date posted. However, if we make any material changes that may substantially and adversely affect your personal rights or obligations, we may provide notice in the manner we deemed fit and necessary, such as by website announcement, in-app notice, WeChat mini program notice, or any other reasonable means.  By accessing our Official Online Channels, you agree to be bound by the then current version of these Terms of Use. If you do not agree with these Terms of Use, please do not use our Official Online Channels.

Registration and Account Security
To access all functionalities of our Official Online Channels, you may be required to register for an account. If you register for an account, you agree to:
1.    provide accurate, current, and complete information about yourself as may be required by any registration forms (“Registration Information”);
2.    maintain the security of your password;
3.    maintain and promptly update the Registration Information, and any other information you provide to the Company, and to keep it accurate, current and complete; and
4.    accept all risks of unauthorized access to the Registration Information and any other information you provide to the Company.

Use of User Id/Password
1.    If you register and/or set up an account, you will be solely responsible for maintaining the confidentiality of your Registration Information. You must not authorize others to use your Registration Information. You must not sub-license, transfer, sell or assign your Registration Information and/or your rights and obligations under these Terms of Use to any third party without the Company's prior written approval. Any attempt to do so will be null and void and shall be considered a material breach of these Terms of Use.
2.    You are solely responsible for all usage or activity on your account including, but not limited to, use of the account by any person who uses your Registration Information, with or without authorization, or who has access to any computer on which your account resides or is accessible.
3.    If you have reason to believe that your account is no longer secure (for example, in the event of a loss, theft or unauthorized disclosure or use of your Registration Information), you must promptly change the affected Registration Information by using the appropriate update mechanism on our Official Online Channels, or email info@galaxyentertainment.com.

Use Limitations/User-Generated Content
By accessing or using our Official Online Channels, you agree to these Terms of Use, including the following terms and conditions:
•    You are responsible for any activity that occurs under your account.
•    You must not abuse, harass, threaten or intimidate other users of our Official Online Channels.
•    You may not use the services available through our Official Online Channels for any illegal or unauthorized purpose.
•    You must not modify, adapt or hack our Official Online Channels or modify another digital platforms so as to falsely imply that it is associated with our Official Online Channels.
•    You must not create or submit unwanted email or message to any users of our Official Online Channels (spam).
•    You must not transmit any bugs or viruses or any code of a destructive nature.
You are prohibited from posting on or transmitting through our Official Online Channels any false, misleading, unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, racially, ethnically, or otherwise objectionable material of any kind, including, but not limited to, any material that encourages conduct that would constitute a criminal offense, give rise to civil or criminal liability, or otherwise violate any applicable local or international law.

We may, but have  no obligation to, remove any content without notice that we determine in our sole discretion to be or suspected to be false, misleading, unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Use. While we prohibit such conduct and content on our Official Online Channels, you understand and agree that the Company shall not be responsible for the content posted on our Official Online Channels, and you nonetheless may be exposed to such materials and that you use our Official Online Channels at your sole risk. 

 
You shall not disrupt, overwhelm, attack, modify or interfere with our Official Online Channels or its associated software, hardware and/or servers in any way, and you agree not to impede or interfere with others' use of our Official Online Channels. You agree that you will not post on or transmit any software, files or links to other sites, and that you will not post on or transmit any submission that contains viruses, corrupted files, or any other similar software or programs that may adversely affect the operation or feature of our Official Online Channels. You further agree not to alter or tamper with any information or materials on or associated with our Official Online Channels. You further agree not to post any message, data, information, text, music, sound, photos, graphics, or other material in such a way that damages the image or rights of the Company, other users or third parties.

Violation of any provision of these Terms of Use and/or any applicable laws and regulations by you may (in our absolute discretion of) result in the immediate suspension, restriction or termination of your access and use our Official Online Channels and/or any of your accounts maintained at our Official Online Channels, without prior notice. We reserve the absolute right to prohibit your rights to access and use of our Official Online Channels at any time if we deem such actions are reasonable and necessary to protect our interests and/or if we suspect that you are in breach and/or will commit a breach of the Terms of Use and/or any applicable laws and regulations.  In case of permanent termination of your accounts and/or your rights to access and use of our Official Online Channels, where the circumstances allows, we may consider giving a notice to you via our Official Online Channels (or any other channels that we deem fit in the circumstances), and/or requesting remedial actions from you within the stipulated period. However, this does not apply where immediate action is reasonably required for legal compliance, security, service integrity, or the protection of our Official Online Channels, or protection of our users, members and/or any third parties’ rights and interests.

You agree to comply with these Terms of Use and any terms and conditions issued by the relevant service provider with respect to any information, data, text, message, work, software, music sound, photo, image, graphic, trade-mark, tradename, logo, video, attachment, hyperlink or other content or material that you post, upload, submit, share or otherwise provide our Official Online Channels ("User Content"), and you agree to the Company's right to modify and delete any User Content at the Company's sole discretion. You also represent and warrant that User Content does not violate any applicable law, regulation or contract, and shall not infringe any patent, trademark, trade secret, copyright or other intellectual property rights. Any unauthorized use of our Official Online Channels or misuse of any information posted to our Official Online Channels is strictly prohibited. You agree that the Company may remove, in its sole discretion, any infringing content at any time without notice.

By posting, uploading, submitting, sharing or otherwise providing User Content to the Company, you hereby immediately grant the Company a worldwide, perpetual, royalty-free, irrevocable and non-exclusive right and license to use, copy, adapt, transmit, communicate, publicly display and perform, distribute and create compilations and derivative works from such User Content. Such license will apply with respect to any form, media, or technology now known or later developed. In addition, you hereby waive all moral rights, as applicable, in such User Content. Unless otherwise restricted by applicable law, such User Content will be used by the Company without any obligation of confidentiality to you.

Privacy
By accessing our Official Online Channels you acknowledge and agree that User Content and Registration Information, including any personal information contained therein is submitted by you. We will take reasonable precautions to ensure that personal information provided through our Official Online Channels will be kept confidential but disclaim all responsibility and liability towards unauthorized access to or disclosure or use thereof.

Limitation of Liabilities and Indemnity
We, our subsidiaries, affiliates, officers, employees, agents, partners and licensors shall under no circumstances be liable for any direct, indirect, incidental, special, consequential or exemplary damages whether or not the same arises as a result of negligence, breach of contract, and infringement of third party rights caused by the use of or reliance on the Contents or any service provided hereby.  That said, nothing in these Terms of Use shall exclude or limit any liability that cannot be excluded or limited under applicable law.

You agree to indemnify our Company and to defend and hold our Company harmless, from any and all claims and liabilities which may arise from your use of our Official Online Channels. You acknowledge that you are using our Official Online Channels at your own risk.

Governing Law
Our Official Online Channels and its operation shall be governed by the laws of the Macau Special Administrative Region (“Macau”), and you hereby submit to the exclusive jurisdiction of the Macau courts in connection with any disputes arising out of these Terms of Use.

Language
To the extent that there are any inconsistencies between the English and Chinese versions of this Terms of Use, the English version shall prevail.
